Terms of Use

1. Agreement to Terms

These Terms of Use (“Terms”) govern your access to and use of Memories, a mobile application operated by Meadow Labs LLC (“Meadow Labs,” “we,” “us,” or “our”), as well as related Memories websites and services.

By downloading, accessing, purchasing, or using Memories, you agree to these Terms.

If you do not agree to these Terms, do not use Memories.

Your use of Memories may also be subject to applicable Apple App Store terms, Apple's standard end-user license terms, and other Apple policies.

2. What Memories Does

Memories is a personal daily journaling and memory-keeping application.

Depending on the version of the app and features available to you, Memories may allow you to:

• Write daily journal entries
• Record how a day felt
• Add tags and other context
• Answer optional daily prompts
• Attach photos
• Record voice memories
• Save places
• Browse memories through a calendar and timeline
• Search your archive
• View Patterns and statistics derived from information you recorded
• Create Collections, Threads, Chapters, and other archive organization
• View weekly, monthly, and yearly recaps
• Export memories
• Synchronize supported content through iCloud
• Access additional functionality through Memories+

Features may change, improve, be renamed, or be discontinued over time.

3. Eligibility

You must be at least 13 years old to use Memories.

If you are under the age of majority where you live, you may use Memories only with permission from a parent or legal guardian where required by law.

4. Personal Journaling Tool

Memories is intended as a personal journaling, memory-keeping, and organizational tool.

Memories is not a medical, psychological, psychiatric, therapeutic, diagnostic, or emergency service.

Patterns, mood summaries, statistics, comparisons, and recaps shown by Memories describe information that you chose to record.

They do not diagnose a condition, establish causation, determine mental or physical health, or replace professional advice.

You should not rely on Memories as a substitute for professional medical, psychological, legal, financial, or other professional services.

5. No Account Required

Memories does not currently require a Meadow Labs user account to maintain a journal.

Your journal is designed to be stored locally on your device and may synchronize using your Apple iCloud account where that functionality is enabled and available.

You are responsible for maintaining access to your device, Apple account, and any credentials needed to access them.

6. Your Journal Content

You may create or store text, photos, voice recordings, locations, tags, prompt answers, Collection names,

Chapter names, and other information in Memories (“Journal Content”).

You retain ownership of your Journal Content.

Meadow Labs does not claim ownership of your journal entries, photographs, voice recordings, or other Journal Content merely because you use Memories.

You are responsible for the content you choose to create, store, export, or share.

You should not use Memories to create, store, or distribute content in a manner that violates applicable law or the rights of another person.

7. Limited Rights Needed to Provide Memories

To the limited extent that technical processing of your Journal Content is necessary to provide a feature you choose to use, you authorize that processing for the purpose of providing Memories.

For example:

• The app may store information on your device
• Apple's iCloud and CloudKit services may synchronize information between supported devices
• MapKit may process location searches
• Apple's system frameworks may process photos, audio, authentication, or other information needed for a requested feature

This authorization does not transfer ownership of your Journal Content to Meadow Labs.

8. Storage, iCloud, and Backups

Memories is designed as a local-first application.

Journal Content is stored on your device and may synchronize using Apple's iCloud and CloudKit services where enabled and available.

Cloud synchronization depends on factors outside Meadow Labs' control, including:

• Your device
• Your Apple account
• Available iCloud storage
• Network connectivity
• Apple service availability
• Device and operating-system behavior

Although Memories is designed to preserve your journal reliably, no storage or synchronization system is guaranteed to be free from interruption, corruption, accidental deletion, device failure, or data loss.

You are encouraged to use available export features to maintain additional copies of Journal Content that is particularly important to you.

Meadow Labs is not responsible for loss caused solely by loss of access to your Apple account, failure to maintain device credentials, deletion of your own data, or failures of independent Apple services beyond our reasonable control.

9. Privacy

Your use of Memories is subject to the Memories Privacy Policy.

The Privacy Policy explains how Memories handles Journal Content, device permissions, iCloud synchronization, purchases, website information, and communications with Meadow Labs.

Memories is designed so that Meadow Labs does not operate a separate remote database containing your private journal.

10. Memories+

Memories includes free functionality and may also offer optional paid functionality through Memories+.

Memories+ may include features such as:

• Enhanced archive exploration
• Media views
• Maps
• Additional photo capacity
• Collections, Threads, or Chapters
• Deeper Patterns and comparisons
• Richer recaps
• Enhanced exports
• Custom prompt features
• Other premium functionality introduced over time

The exact Memories+ feature set may evolve as Memories is developed.

Meadow Labs may add, modify, replace, or retire individual features while continuing to provide the overall

Memories+ service.

11. Auto-Renewable Subscriptions

Memories+ may be offered through monthly or yearly auto-renewable subscriptions purchased through the Apple App Store.

If you purchase an auto-renewable subscription:

• Payment is processed by Apple
• The subscription automatically renews unless you cancel it
• Renewal occurs according to the subscription terms shown by Apple at the time of purchase
• Your Apple account is charged according to Apple's billing rules
• You can manage or cancel the subscription through your Apple account or App Store subscription settings
• Deleting Memories from your device does not automatically cancel an active subscription

Prices, available subscription durations, introductory offers, and regional pricing may vary and will be displayed before purchase.

Any free trial or promotional offer is governed by the terms shown by Apple when you subscribe.

12. Lifetime Purchase

Memories+ may also be offered as a one-time, non-consumable lifetime purchase.

A lifetime purchase does not automatically renew and does not involve recurring subscription charges.

Unless otherwise stated at the time of purchase, a lifetime Memories+ purchase provides access to the then-supported Memories+ entitlement for as long as Meadow Labs continues to operate and support the Memories application and that entitlement, subject to these Terms and applicable Apple policies.

“Lifetime” refers to the supported lifetime of the Memories product and does not guarantee that Memories will exist indefinitely or that every present or future feature will remain unchanged forever.

The lifetime purchase does not entitle the purchaser to separate future products or services that are materially distinct from Memories unless Meadow Labs expressly states otherwise.

13. Payments, Billing, and Refunds

Purchases made through Memories are processed by Apple.

Meadow Labs does not directly process your payment card.

Billing, cancellation, subscription renewal, purchase restoration, and refund eligibility are subject to Apple's applicable payment terms and procedures.

Requests for refunds for App Store purchases generally must be made through Apple.

If a StoreKit transaction confirms an active Memories+ entitlement, Memories will attempt to make the corresponding paid features available.

Temporary delays caused by Apple service availability, device connectivity, or transaction verification do not create a right to duplicate purchases.

14. Restoring Purchases

Where supported by Apple, Memories allows eligible purchases to be restored.

Purchase restoration generally depends on the Apple account used to make the original purchase and Apple's transaction records.

Meadow Labs cannot transfer App Store purchases between unrelated Apple accounts.

15. Acceptable Use

You agree not to:

• Use Memories for unlawful, fraudulent, abusive, or malicious purposes
• Violate another person's intellectual-property, privacy, or other legal rights
• Attempt to compromise, interfere with, or disrupt Memories
• Circumvent subscription restrictions or access controls
• Manipulate StoreKit transactions or purchase entitlements
• Reverse engineer, decompile, or disassemble Memories except where applicable law expressly permits it
• Copy or reproduce substantial portions of Memories' software, designs, branding, or proprietary interfaces without permission
• Use automated systems to attack, scrape, overload, or improperly interact with Memories or related
• Meadow Labs services
• Misrepresent your relationship with Meadow Labs or Memories
• Use Memories in a way that exposes Meadow Labs or others to legal liability

Nothing in these Terms prohibits activity that applicable law expressly allows and does not permit us to restrict.

16. Sharing and Exporting Your Content

Memories may allow you to share or export Journal Content.

You decide what you share.

Once you export or share Journal Content outside Memories, that information may be handled by:

• The recipient
• Another application
• A cloud-storage provider
• A messaging service
• A social network
• Another third party you choose

Meadow Labs is not responsible for how third parties handle information after you intentionally share or export it to them.

Review the contents of a memory before sharing it, particularly where it includes a photo, location, prompt response, or other private information.

17. Intellectual Property

Memories, including its software, source code, user interface, visual design, branding, logos, graphics, original text, features, product architecture, website, and other Meadow Labs materials, is owned by Meadow Labs or its licensors and is protected by intellectual-property and other applicable laws.

These Terms give you a personal, limited, non-exclusive, non-transferable, revocable right to use Memories for its intended purpose.

These Terms do not transfer ownership of Memories or Meadow Labs intellectual property to you.

Your Journal Content remains yours as described in these Terms.

18. Feedback

If you voluntarily send Meadow Labs feedback, ideas, feature requests, suggestions, or recommendations about Memories, you agree that Meadow Labs may use that feedback without restriction or compensation to you.

This does not give Meadow Labs ownership of private Journal Content you include in the app.

Avoid including private journal material in product feedback unless you intentionally want us to see it.

19. Third-Party and Apple Services

Memories relies on certain Apple platform technologies and services.

These may include:

• App Store
• StoreKit iCloud
• CloudKit
• MapKit
• Photos
• Location Services
• Notifications
• LocalAuthentication
• Other iOS frameworks

Your use of those services is also subject to Apple's applicable terms, conditions, licenses, and privacy practices.

Meadow Labs does not control Apple's systems and cannot guarantee their uninterrupted availability.

Memories or the Memories website may also contain links to third-party websites or resources.

We are not responsible for independent third-party services, websites, content, or privacy practices.

20. Changes to Memories

We may update Memories from time to time.

Updates may:

• Add features
• Remove features
• Change designs
• Modify technical requirements
• Improve security
• Fix bugs
• Change Memories+ functionality
• Change supported iOS versions or devices
• Change how certain archive or synchronization features operate

We may also discontinue Memories or a feature where reasonably necessary.

Where legally required, we will provide appropriate notice regarding material changes that affect paid services or user rights.

21. Availability

We aim to keep Memories reliable, but we do not guarantee uninterrupted or error-free operation.

Memories may occasionally be unavailable or function differently because of:

• Software bugs
• Maintenance iOS updates
• Device limitations
• Network problems
• Apple service outages iCloud availability
• StoreKit problems
• Security requirements
• Changes to third-party platform requirements

Offline journal functionality may continue to operate even where certain Apple services are unavailable, depending on the feature.

22. Termination

You may stop using Memories at any time.

You can delete the application and manage any associated iCloud data through your Apple settings.

Deleting the application does not automatically cancel an active App Store subscription.

Meadow Labs may restrict or terminate access to Memories or paid functionality if we reasonably determine that you:

• Violated these Terms
• Circumvented payment or access controls
• Engaged in fraud or abuse
• Used Memories in a way that creates substantial legal or security risk

Termination does not eliminate payment obligations already incurred through Apple.

23. Disclaimers

Memories is provided on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, Meadow Labs disclaims warranties of every kind, whether express, implied, or statutory, including warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy
• Availability
• Reliability
• Data preservation
• Compatibility

We do not warrant that:

• Memories will always be available
• Synchronization will always succeed
• Journal data can never be lost
• Patterns or statistics will always be meaningful
• Every bug will be corrected
• Memories will support every device or operating-system version indefinitely

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

24. Limitation of Liability

To the fullest extent permitted by applicable law, Meadow Labs and its owners, employees, contractors, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to Memories.

This includes, where permitted by law, damages arising from:

• Loss of data
• Loss of Journal Content
• Loss of access to a device or Apple account
• Failed synchronization
• Service interruption
• Lost profits or revenue
• Reliance on Patterns, statistics, or recaps
• Unauthorized access caused by compromised device or account credentials
• Third-party services outside Meadow Labs' reasonable control

Nothing in these Terms excludes or limits liability where applicable law does not permit that limitation.

25. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Meadow Labs and its owners, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable costs arising from:

• Your unlawful misuse of Memories
• Journal Content you intentionally publish or distribute in violation of another person's rights
• Your violation of these Terms
• Your violation of applicable law
• Your infringement of a third party's legal rights

This section does not apply where prohibited by applicable law.

26. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law principles, except where the laws of your jurisdiction require otherwise.

Nothing in these Terms removes consumer rights that cannot legally be waived.

27. Dispute Resolution

Before initiating a formal legal claim relating to Memories, you agree to contact Meadow Labs at zen@meadowresearch.com and provide a reasonable opportunity for the issue to be resolved informally.

Unless applicable law requires otherwise, disputes that cannot be resolved informally will be subject to the jurisdiction of the appropriate state or federal courts in Colorado.

These Terms do not require binding arbitration or waive your right to participate in a class action unless a separate legally valid agreement expressly provides otherwise.

28. Apple App Store Terms

If you download or purchase Memories through the Apple App Store, your use of Memories is also subject to applicable Apple App Store terms and Apple's end-user license provisions.

Apple is responsible for processing App Store transactions according to its own terms.

To the extent these Terms conflict with non-waivable requirements imposed by Apple for apps distributed through the App Store, the applicable Apple requirements control.

29. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice through Memories, memoriesjournal.com, or another reasonable method.

The updated Terms become effective on the date stated in the updated version, except where applicable law requires additional notice or consent.

Your continued use of Memories after updated Terms become effective constitutes acceptance of those

Terms to the extent permitted by law.

30. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

31. Entire Agreement

These Terms, together with the Memories Privacy Policy and any applicable Apple terms, constitute the agreement governing your use of Memories unless another written agreement expressly applies.
